Couchbase Capella User Survey & Interview – Terms and Conditions

Thank you for your interest in participating in the Couchbase Capella User Survey & Interview (this “Opportunity”).

BY REGISTERING FOR AND PARTICIPATING IN THIS OPPORTUNITY, YOU (“You”) ARE AGREEING TO THESE TERMS AND CONDITIONS (THESE “TERMS”). THESE TERMS ARE A LEGALLY BINDING AGREEMENT BETWEEN YOU AND COUCHBASE, INC. (“Couchbase”) WITH RESPECT TO THE SURVEY.

To participate in the survey and interview, you must agree to these Terms and acknowledge the Couchbase Privacy Policy (“Privacy Policy”). You will need to provide certain information about yourself to register for the Opportunity.

Participants who complete the user survey and interview will receive an incentive (“Reward”) from Couchbase as selected by Couchbase in its sole discretion while supplies last. The following categories of individuals are not eligible to qualify for any such rewards: (i) employees of Couchbase and its affiliates, and their respective immediate family members and persons living in their same household; (ii) foreign officials (as defined under the U.S. Foreign Corrupt Practices Act (FCPA) and other similar laws); (iii) government officials and candidates for public office; and (iv) any other individual or organization whose qualification for a reward would create, in the sole discretion of Couchbase, a real or apparent conflict of interest. Approximate value of a Reward: up to $150 (U.S.). Winners are solely responsible for any and all federal, state, provincial and local taxes, if any, that apply to Rewards. No cash or other substitution of Rewards is permitted, except at the sole option of Couchbase for a reward of equal or greater value.

Rewards are intended for distribution only in the United States, Canada, and the United Kingdom, and are intended only for the use of those who may legally qualify for a Reward under relevant U.S. or otherwise applicable laws and regulations (including but not limited to U.S. export control laws and regulations and/or sanctions administered by the Office of Foreign Assets Control). Couchbase reserves the right to disqualify any individual from receipt of a Reward if the individual is not authorized to participate in the Opportunity, violates these Terms, and/or is otherwise disruptive or engaging in activities detrimental to the conduct of the survey and interview, all as determined by Couchbase in its sole discretion.

Rewards are made available on an AS-IS basis, and any and all express or implied warranties or duties are hereby disclaimed. Couchbase can discontinue or change this Opportunity at any time in its sole discretion. To the maximum extent permitted under applicable law, Couchbase, its directors, officers, employees, agents, representatives, vendors, and contractors (collectively, “Indemnitees”) shall not be liable for any damages, losses or claims resulting from any person’s participation in this Opportunity. To the maximum extent permitted under applicable law, you agree to indemnify and hold harmless Indemnitees from and against any and all claims, suits, actions, losses, expenses, damages, penalties, and costs, including reasonable attorneys’ fees resulting from any actual or alleged violation of these Terms by you or your participation in this Opportunity.

These Terms are governed by the laws of the State of California. Any claims or disputes relating to this Opportunity and/or these Terms must be settled exclusively in the federal or state courts located in San Mateo County, California. If any portion of this these Terms is determined by any court or governmental agency of competent jurisdiction to violate applicable law or otherwise not to conform to requirements of law, then the rest of these Terms will remain in effect and the parties will substitute a suitable and equitable provision for the invalid/unenforceable provision in order to carry out the original intent and purpose of the original Terms. Couchbase’s failure to enforce any provision of these Terms shall not constitute a waiver of that provision. These Terms cannot be modified or changed except with the written agreement of Couchbase.
