Contrato de Licen\u00e7a de Assinatura Enterprise<\/h2>\n\n\n\n

Este Contrato de Licen\u00e7a de Assinatura Empresarial (\"Contrato\") \u00e9 celebrado entre a Couchbase e o Licenciado e estabelece os termos sob os quais o Licenciado pode usar determinados softwares da Couchbase e\/ou receber determinados servi\u00e7os de consultoria de acordo com os Pedidos regidos por este Contrato.<\/p>\n\n\n\n

Note that this Agreement cannot be changed without a mutually signed amendment.  Couchbase will not in any way change the terms posted at the URL above.  Any Orders or SOW placed under this version of the Agreement may only be modified by a mutually signed amendment.<\/p>\n\n\n\n

1. Defini\u00e7\u00f5es. <\/strong><\/p>\n\n\n\n

1.1 Os termos em letras mai\u00fasculas usados neste documento ter\u00e3o as seguintes defini\u00e7\u00f5es:<\/p>\n\n\n\n

\"Replica\u00e7\u00e3o entre centros de dados\" <\/b>significa um sistema ass\u00edncrono de replica\u00e7\u00e3o de dados, que envolve a replica\u00e7\u00e3o de dados ativos em v\u00e1rios centros de dados ou reposit\u00f3rios de dados geograficamente diversos.<\/p>\n\n\n\n

\"Entreg\u00e1veis\"<\/b> significa relat\u00f3rios e outros produtos que a Couchbase pode projetar, desenvolver ou entregar ao Cliente durante o curso do fornecimento dos Servi\u00e7os Profissionais.<\/p>\n\n\n\n

\"Documenta\u00e7\u00e3o\"<\/strong> significa os manuais ou guias t\u00e9cnicos do usu\u00e1rio fornecidos pela Couchbase relacionados ao Software.<\/p>\n\n\n\n

\"Taxa\"<\/strong> significa a soma ou taxa especificada no Pedido ou SOW aplic\u00e1vel e inclui quaisquer outras taxas ou encargos pag\u00e1veis nos termos deste Contrato.<\/p>\n\n\n\n

\"Dispositivos licenciados<\/b>\" significa um dispositivo exclusivo (como um dispositivo m\u00f3vel, laptop ou dispositivo IoT) que armazena dados localmente usando o produto \"Couchbase Lite\".<\/p>\n\n\n\n

\"N\u00f3 licenciado\"<\/b> significa uma inst\u00e2ncia do Software em execu\u00e7\u00e3o em um servidor, incluindo um servidor f\u00edsico, blade de servidor, m\u00e1quina virtual, cont\u00eainer de software ou servidor em nuvem.<\/p>\n\n\n\n

\"N\u00facleo\" <\/b>significa a representa\u00e7\u00e3o virtual de um ou mais threads de hardware. Um thread de hardware pode ser um n\u00facleo f\u00edsico ou um n\u00facleo hyper-threaded.<\/p>\n\n\n\n

\"Implanta\u00e7\u00e3o de produ\u00e7\u00e3o\"<\/b> significa todos os n\u00f3s licenciados e dispositivos licenciados em um cluster ou clusters espec\u00edficos que s\u00e3o licenciados para oferecer suporte a uma carga de trabalho ou aplicativo ativo.<\/p>\n\n\n\n

\"Ordem\"<\/strong> significa um documento de transa\u00e7\u00e3o (como uma cota\u00e7\u00e3o de vendas assinada) que identifica os Servi\u00e7os Profissionais, o Software, o n\u00famero de N\u00f3s Licenciados e\/ou Dispositivos Licenciados, a Taxa aplic\u00e1vel e a Vig\u00eancia da Assinatura.<\/p>\n\n\n\n

\"Software\"<\/strong> significa a vers\u00e3o do c\u00f3digo do objeto do produto Couchbase aplic\u00e1vel, conforme refletido em um Pedido.<\/p>\n\n\n\n

\"Prazo da assinatura\"<\/strong> significa o per\u00edodo indicado em um Pedido ou SOW durante o qual o Cliente est\u00e1 licenciado para usar o Software e a Documenta\u00e7\u00e3o e receber os Servi\u00e7os Profissionais e o Suporte.<\/p>\n\n\n\n

\"Suporte\"<\/strong> significa o suporte t\u00e9cnico e os servi\u00e7os de manuten\u00e7\u00e3o de Software (com o direito de receber atualiza\u00e7\u00f5es e upgrades de Software geralmente disponibilizados pela Couchbase), conforme descrito na pol\u00edtica de suporte da Couchbase vigente na \u00e9poca (localizada em www.couchbase.com\/support-policy<\/a>).<\/p>\n\n\n\n

\"SOW\"<\/b> significa um documento de transa\u00e7\u00e3o ou Pedido que identifica os Servi\u00e7os Profissionais adquiridos.<\/p>\n\n\n\n

\"Servi\u00e7os profissionais\"<\/b> significa servi\u00e7os de consultoria e Entreg\u00e1veis, conforme identificados no Pedido ou SOW aplic\u00e1vel, fornecidos pela Couchbase ao Cliente, usando esfor\u00e7os comercialmente razo\u00e1veis.<\/p>\n\n\n\n

O termo \"incluindo\"<\/strong> incluindo, mas n\u00e3o se limitando a.<\/p>\n\n\n\n

2. Concess\u00e3o de licen\u00e7a.  <\/strong><\/p>\n\n\n\n

2.1 Durante a Vig\u00eancia da Assinatura, e sujeito \u00e0 conformidade do Cliente com os termos e condi\u00e7\u00f5es deste Contrato, a Couchbase concede ao Cliente uma licen\u00e7a n\u00e3o exclusiva, intransfer\u00edvel, n\u00e3o sublicenci\u00e1vel e paga para instalar e usar o Software e a Documenta\u00e7\u00e3o somente para uso interno do Cliente e limitada ao n\u00famero de N\u00f3s Licenciados (e, quando aplic\u00e1vel, ao n\u00famero de Dispositivos Licenciados) pagos pelo Cliente e de acordo com quaisquer termos de licen\u00e7a adicionais especificados no Pedido aplic\u00e1vel, e para nenhuma outra finalidade.<\/p>\n\n\n\n

3. Restri\u00e7\u00f5es.<\/strong><\/p>\n\n\n\n

3.1 O Cliente n\u00e3o dever\u00e1:<\/p>\n\n\n\n

(a) copiar ou usar o Software e a Documenta\u00e7\u00e3o de qualquer maneira, exceto conforme expressamente permitido neste Contrato;<\/p>\n\n\n\n

(b) usar ou implantar o Software al\u00e9m do n\u00famero de N\u00f3s Licenciados e Dispositivos Licenciados para os quais o Cliente pagou a Tarifa aplic\u00e1vel;<\/p>\n\n\n\n

(c) usar ou implementar o Software al\u00e9m do n\u00famero de n\u00facleos e RAM para cada N\u00f3 Licenciado pelo qual o Cliente pagou a Taxa aplic\u00e1vel;<\/p>\n\n\n\n

(d) transferir, vender, alugar, arrendar, emprestar, distribuir ou sublicenciar o Software e a Documenta\u00e7\u00e3o a terceiros;<\/p>\n\n\n\n

(e) usar o Software para fornecer servi\u00e7os de compartilhamento de tempo, servi\u00e7os de bureau de servi\u00e7os ou como parte de um provedor de servi\u00e7os de aplicativos ou como uma oferta de servi\u00e7o projetada principalmente para oferecer a funcionalidade do Software;<\/p>\n\n\n\n

(f) fazer engenharia reversa, desmontar ou descompilar o Software (exceto na medida em que tais restri\u00e7\u00f5es sejam proibidas por lei);<\/p>\n\n\n\n

(g) alterar, modificar, aprimorar ou preparar qualquer trabalho derivado do Software e da Documenta\u00e7\u00e3o;<\/p>\n\n\n\n

(h) alterar ou remover quaisquer avisos de propriedade no Software e na Documenta\u00e7\u00e3o; ou<\/p>\n\n\n\n

(i) exportar o Software em viola\u00e7\u00e3o \u00e0s regras de administra\u00e7\u00e3o de exporta\u00e7\u00e3o do Departamento de Com\u00e9rcio dos EUA ou a quaisquer outras leis ou regulamentos de exporta\u00e7\u00e3o.<\/p>\n\n\n\n

3.2 Se o Cliente n\u00e3o estiver em conformidade com os termos da licen\u00e7a ou com as restri\u00e7\u00f5es anteriores, a Couchbase poder\u00e1 (sem reembolso ou cr\u00e9dito) rescindir a licen\u00e7a do Cliente para o Software e a Documenta\u00e7\u00e3o ou, a seu crit\u00e9rio exclusivo, suspender a licen\u00e7a do Cliente para o Software e a Documenta\u00e7\u00e3o at\u00e9 que o Cliente esteja em conformidade com tais termos e restri\u00e7\u00f5es.<\/p>\n\n\n\n

3.3 O Cliente reconhece que uma viola\u00e7\u00e3o de suas obriga\u00e7\u00f5es com o Couchbase sob este Contrato, al\u00e9m das obriga\u00e7\u00f5es de pagamento, resultar\u00e1 em danos irrepar\u00e1veis e cont\u00ednuos para os quais os danos monet\u00e1rios podem n\u00e3o ser suficientes, e concorda que o Couchbase ter\u00e1 o direito de receber, al\u00e9m de seus outros direitos e recursos aqui descritos ou em lei, medidas cautelares e\/ou outras medidas equitativas. Todos os recursos do Couchbase estabelecidos neste Contrato s\u00e3o cumulativos e adicionais, e n\u00e3o substituem qualquer outro recurso do Couchbase como lei ou em equidade.<\/p>\n\n\n\n

4. Servi\u00e7os. <\/strong><\/p>\n\n\n\n

4.1 As partes podem concordar que a Couchbase forne\u00e7a Servi\u00e7os Profissionais adicionais, que dever\u00e3o ser definidos no Pedido ou SOW aplic\u00e1vel assinado por ambas as partes. Esses Servi\u00e7os Profissionais ser\u00e3o regidos pelos termos e condi\u00e7\u00f5es deste Contrato.<\/p>\n\n\n\n

5. Direitos de propriedade.  <\/strong><\/p>\n\n\n\n

5.1 O Software (e quaisquer modifica\u00e7\u00f5es ou derivados do mesmo) e toda a Documenta\u00e7\u00e3o e os Servi\u00e7os Profissionais s\u00e3o e permanecer\u00e3o de propriedade exclusiva da Couchbase e de seus licenciadores. Exceto pelos direitos de licen\u00e7a concedidos nos termos deste Contrato, a Couchbase e seus licenciadores ret\u00eam todos os direitos, t\u00edtulos e interesses sobre o Software, a Documenta\u00e7\u00e3o e os Servi\u00e7os Profissionais, incluindo todos os direitos de propriedade intelectual neles contidos.<\/p>\n\n\n\n

5.2 O Software pode incluir componentes de software de c\u00f3digo aberto de terceiros e esses componentes de terceiros dever\u00e3o ser licenciados ao Cliente de acordo com os termos das condi\u00e7\u00f5es de licen\u00e7a de c\u00f3digo aberto aplic\u00e1veis e\/ou avisos de direitos autorais que podem ser encontrados no arquivo de licen\u00e7as, na Documenta\u00e7\u00e3o ou nos materiais que acompanham o Software.<\/p>\n\n\n\n

5.3 Se o Cliente for o Governo dos Estados Unidos ou qualquer empresa contratada por ele, todas as licen\u00e7as concedidas neste documento estar\u00e3o sujeitas ao seguinte:<\/p>\n\n\n\n

(a) para aquisi\u00e7\u00e3o por ou em nome de \u00f3rg\u00e3os civis, conforme necess\u00e1rio para obter prote\u00e7\u00e3o como \"software comercial de computador\" e documenta\u00e7\u00e3o relacionada, de acordo com os termos deste Contrato e conforme especificado na Subparte 12.1212 do Federal Acquisition Regulation (FAR), 48 C.F.R.12.1212, e seus sucessores; e<\/p>\n\n\n\n

(b) para aquisi\u00e7\u00e3o por ou em nome do Departamento de Defesa (DOD) e quaisquer ag\u00eancias ou unidades do mesmo, conforme necess\u00e1rio para obter prote\u00e7\u00e3o como \"software de computador comercial\" e documenta\u00e7\u00e3o relacionada de acordo com os termos deste Contrato e conforme especificado nas Subpartes 227.7202-1 e 227.7202-3 do Suplemento FAR do DOD, 48 C.F.R.227.7202-1 e 227.7202-3, e seus sucessores, o fabricante \u00e9 a Couchbase, Inc.<\/p>\n\n\n\n

6. Suporte.  <\/strong><\/p>\n\n\n\n

6.1 A Couchbase fornecer\u00e1 ao Cliente o n\u00edvel de Suporte indicado no Pedido aplic\u00e1vel e pago pelo Cliente. Para todos os N\u00f3s Licenciados e Dispositivos Licenciados em uma Implanta\u00e7\u00e3o de Produ\u00e7\u00e3o espec\u00edfica, todos esses n\u00f3s e inst\u00e2ncias devem estar no mesmo n\u00edvel de Suporte, incluindo qualquer um que seja usado para recupera\u00e7\u00e3o de desastres ou backup associado \u00e0 Implanta\u00e7\u00e3o de Produ\u00e7\u00e3o espec\u00edfica. Para evitar d\u00favidas, cada Implanta\u00e7\u00e3o de Produ\u00e7\u00e3o espec\u00edfica pode ter seu pr\u00f3prio n\u00edvel de Suporte. Da mesma forma, todos os N\u00f3s Licenciados e Dispositivos Licenciados em um ambiente de desenvolvimento ou teste devem ter o mesmo n\u00edvel de Suporte, mas esses N\u00f3s Licenciados e Dispositivos Licenciados podem estar em um n\u00edvel de suporte diferente da(s) Implanta\u00e7\u00e3o(\u00f5es) de Produ\u00e7\u00e3o.<\/p>\n\n\n\n

6.2 Ao usar o recurso Replica\u00e7\u00e3o entre data centers, o Cliente deve ter todos os n\u00f3s licenciados e dispositivos licenciados no mesmo n\u00edvel de suporte para todas as inst\u00e2ncias em todos os lados da conex\u00e3o de replica\u00e7\u00e3o, inclusive se um lado da conex\u00e3o for usado apenas para recupera\u00e7\u00e3o de desastres ou backup.<\/p>\n\n\n\n

7. Taxas.  <\/strong><\/p>\n\n\n\n

7.1 Customer will pay Couchbase the Fee(s) in advance, unless otherwise indicated in the applicable Order.  All payments are non-cancelable, not subject to the Limitation of Liability in Section 12 below, and shall be made in the currency stated on the applicable Order and are due within thirty (30) days of the date of the invoice, unless otherwise stated on the invoice.  Late payments will bear interest at the lesser of one- and one-half percent (1 \u00bd%) per month or the maximum rate allowed by applicable law.  Customer will reimburse Couchbase for all reasonable costs and expenses incurred (including reasonable attorneys\u2019 fees) in collecting any overdue amounts.<\/p>\n\n\n\n

7.2 Todas as Taxas pag\u00e1veis nos termos deste Contrato s\u00e3o:<\/p>\n\n\n\n

(a) valores l\u00edquidos e s\u00e3o pag\u00e1veis integralmente, sem dedu\u00e7\u00e3o de impostos ou taxas de qualquer natureza;<\/p>\n\n\n\n

(b) exclusivo de, e o Cliente \u00e9 respons\u00e1vel por, todas as taxas e impostos (incluindo o Imposto sobre Valor Agregado, que dever\u00e1 ser pago pelo Cliente, se aplic\u00e1vel, \u00e0 taxa e da maneira prescrita por lei), exceto impostos baseados no lucro l\u00edquido da Couchbase; e<\/p>\n\n\n\n

(c) n\u00e3o reembols\u00e1veis, exceto na medida expressamente prevista neste Contrato.<\/p>\n\n\n\n

7.3 Se o Cliente enviar \u00e0 Couchbase um pedido de compra (\"PO<\/b>\u201d), the PO will be deemed a binding contract offer which Couchbase may accept by signing the PO or sending a written order acknowledgment of acceptance of the PO (thereby forming a mutually agreed Order governed by this Agreement); in such case the only terms listed on the accepted PO which will form the Order are the Commercial Details; and all other terms (whether additional or conflicting with this Agreement) on the PO will be void and without effect, even if Couchbase signs the PO.  All accepted POs will automatically be governed by this Agreement (even if the PO does not reference this Agreement). It is expressly agreed that Section 7 shall apply in respect of any PO sent by Customer and accepted by Couchbase. It is expressly agreed that this Section 7.3 shall apply in respect of any PO sent by Licensee to Couchbase.<\/p>\n\n\n\n

8. Reten\u00e7\u00e3o de registros e auditoria.  <\/strong><\/p>\n\n\n\n

8.1 O Cliente manter\u00e1 registros completos e precisos para permitir que a Couchbase verifique a conformidade do Cliente com este Contrato (incluindo o n\u00famero de N\u00f3s Licenciados e Dispositivos Licenciados usados pelo Cliente) e fornecer\u00e1 \u00e0 Couchbase esses registros em at\u00e9 10 (dez) dias ap\u00f3s a solicita\u00e7\u00e3o.<\/p>\n\n\n\n

8.2 Upon at least thirty (30) days prior written notice, Couchbase may audit Customer\u2019s use of the Software to solely assess whether Customer is in compliance with the terms of this Agreement.  Any such audit will be conducted during regular business hours at Customer\u2019s facilities and will not unreasonably interfere with Customer\u2019s business activities.  Customer will provide Couchbase with access to the relevant Customer records and facilities.  If an audit reveals that Customer has underpaid fees to Couchbase, then Couchbase will invoice Customer, and Customer will promptly pay Couchbase for such underpaid fees based on Couchbase’s price list in effect at the time the audit is completed.  If the underpaid fees exceed five percent (5%) of the Fee paid by Customer for the Software, then Customer will also pay Couchbase’s reasonable costs of conducting the audit.<\/p>\n\n\n\n

9. Confidencialidade.  <\/strong><\/p>\n\n\n\n

9.1 O Cliente e a Couchbase manter\u00e3o a confidencialidade das Informa\u00e7\u00f5es Confidenciais. \"Informa\u00e7\u00f5es confidenciais\"<\/b> significa qualquer informa\u00e7\u00e3o propriet\u00e1ria recebida pela outra parte durante ou antes da celebra\u00e7\u00e3o deste Contrato que uma parte deveria saber que \u00e9 confidencial ou propriet\u00e1ria com base nas circunst\u00e2ncias que envolvem a divulga\u00e7\u00e3o, incluindo o Software e qualquer informa\u00e7\u00e3o t\u00e9cnica e comercial n\u00e3o p\u00fablica (incluindo pre\u00e7os). As Informa\u00e7\u00f5es Confidenciais n\u00e3o incluem informa\u00e7\u00f5es que (a) sejam ou se tornem de conhecimento geral do p\u00fablico sem culpa ou viola\u00e7\u00e3o deste Contrato pela parte receptora; (b) sejam legitimamente conhecidas pela parte receptora no momento da divulga\u00e7\u00e3o sem uma obriga\u00e7\u00e3o de confidencialidade para com a parte divulgadora; (c) sejam desenvolvidas independentemente pela parte receptora sem o uso das Informa\u00e7\u00f5es Confidenciais da parte divulgadora; ou (d) a parte receptora obtenha legitimamente de um terceiro sem restri\u00e7\u00e3o de uso ou divulga\u00e7\u00e3o.<\/p>\n\n\n\n

9.2 The receiving party of any Confidential Information of the other party agrees not to use such Confidential Information for any purpose except as necessary to fulfill its obligations and exercise its rights under this Agreement.  The receiving party shall protect the secrecy of and prevent disclosure and unauthorized use of the disclosing party\u2019s Confidential Information using the same degree of care that it takes to protect its own confidential information and in no event shall use less than reasonable care.<\/p>\n\n\n\n

9.3 Upon termination of this Agreement, the receiving party will, at the disclosing party\u2019s option, promptly return or destroy (and provide written certification of such destruction) the disclosing party\u2019s Confidential Information.  A party may disclose the other party\u2019s Confidential Information to the extent required by law or regulation.<\/p>\n\n\n\n

10. ISEN\u00c7\u00c3O DE GARANTIA  <\/strong><\/p>\n\n\n\n

10.1 THE SOFTWARE, DOCUMENTATION AND ANY PROFESSIONAL SERVICES PROVIDED HEREUNDER ARE PROVIDED \u201cAS IS\u201d WITHOUT WARRANTY OF ANY KIND AND NEITHER COUCHBASE, ANY OF ITS AFFILAITES OR LICENSORS (COLLECTIVELY, THE \u201cCOUCHBASE PARTIES\u201d) REPRESENT OR WARRANT THAT THE SOFTWARE, DOCUMENTATION OR PROFESSIONAL SERVICES PROVIDED HEREUNDER WILL MEET CUSTOMER\u2019S REQUIREMENTS, THAT THE SOFTWARE WILL OPERATE IN THE COMBINATIONS CUSTOMER MAY SELECT FOR USE, THAT THE OPERATION OF THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT ALL SOFTWARE ERRORS WILL BE CORRECTED.  TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COUCHBASE PARTIES HEREBY DISCLAIM ALL WARRANTIES, EITHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING, USAGE OR TRADE. THE COUCHBASE PARTIES DO NOT WARRANT THAT THE SOFTWARE IS DESIGNED, MANUFACTURED, OR INTENDED FOR USE IN HAZARDOUS ENVIRONMENTS REQUIRING FAIL-SAFE PERFORMANCE WHERE THE FAILURE OF THE PRODUCT COULD LEAD TO DEATH, PERSONAL INJURY, OR SIGNIFICANT PHYSICAL OR ENVIRONMENTAL DAMAGE.<\/p>\n\n\n\n

11. Indeniza\u00e7\u00e3o de reivindica\u00e7\u00f5es de terceiros.<\/strong><\/p>\n\n\n\n

11.1 Indeniza\u00e7\u00e3o do Couchbase.<\/strong> Subject to the terms of this Section 11.1, Couchbase will indemnify and defend Customer from and against any damages finally awarded against Customer in connection with any third party claims that the non-open source software components of the Software, Documentation or Professional Services infringe any valid, enforceable United States patent, United States copyright, or United States trademark; provided that: (a) Customer promptly notifies Couchbase of the claim; (b) Customer gives Couchbase all necessary information regarding the claim and reasonably cooperates with Couchbase; (c) Customer allows Couchbase exclusive control of the defense and all related settlement negotiations; d) Customer does not admit fault or liability with respect to this Agreement, any Order,  Customers actions or those of Couchbase; and e) Customer agrees any damage award does not include any Fees owed to Couchbase.<\/p>\n\n\n\n

11.2 Injun\u00e7\u00e3o.<\/strong> Sem limitar o acima exposto, e n\u00e3o obstante qualquer coisa em contr\u00e1rio neste Contrato, se o uso do Software, da Documenta\u00e7\u00e3o ou dos Servi\u00e7os Profissionais for proibido, ou se a Couchbase determinar que tal uso pode ser proibido, a Couchbase ir\u00e1, a seu exclusivo crit\u00e9rio e despesa, (i) obter para o Cliente o direito de continuar usando o Software, a Documenta\u00e7\u00e3o ou os Servi\u00e7os Profissionais afetados; (ii) substituir\u00e1 ou modificar\u00e1 o Software, a Documenta\u00e7\u00e3o ou os Servi\u00e7os Profissionais afetados que infringem para que n\u00e3o infrinjam; ou (iii) se a op\u00e7\u00e3o (i) ou (ii) n\u00e3o for comercialmente vi\u00e1vel na opini\u00e3o razo\u00e1vel da Couchbase, conforme aplic\u00e1vel, rescindir\u00e1 as licen\u00e7as e os Servi\u00e7os Profissionais afetados e, no caso de tal rescis\u00e3o, reembolsar\u00e1 ao Cliente um valor proporcional das Taxas dos Servi\u00e7os Profissionais afetados.<\/p>\n\n\n\n

11.3 Indeniza\u00e7\u00e3o do cliente.<\/strong> Customer will indemnify and defend Couchbase from and against any damages awarded against Couchbase in connection with any third party claim that Customer\u2019s use, operation or combination of the Software, including Customer\u2019s data or content, infringe any United States patent, United States copyright or United States trademark or violates this Agreement; provided that: (a) Couchbase promptly notifies Customer of the claim; (b) Couchbase gives Customer all necessary information regarding the claim and reasonably cooperates with Customer; (c) Couchbase allows Customer exclusive control of the defense and all related settlement negotiations; d) Couchbase does not admit fault or liability with respect to this Agreement, any Order,  Couchbase actions or those of Customer; and e) Couchbase agrees any damage award does not include any Fees paid to Couchbase.<\/p>\n\n\n\n

11.4 Exclus\u00f5es.<\/strong> A Couchbase n\u00e3o ter\u00e1 nenhuma responsabilidade por qualquer reivindica\u00e7\u00e3o de viola\u00e7\u00e3o (a) quanto ao Software e \u00e0 Documenta\u00e7\u00e3o, (i) com base em modifica\u00e7\u00f5es no Software e na Documenta\u00e7\u00e3o feitas por uma parte que n\u00e3o seja a Couchbase, na medida em que uma reivindica\u00e7\u00e3o n\u00e3o teria ocorrido se n\u00e3o fosse por tais modifica\u00e7\u00f5es, (ii) com base no uso de outra vers\u00e3o do Software que n\u00e3o seja a atual, desde que a Couchbase tenha dado um aviso razo\u00e1vel por escrito ao Cliente para migrar para a vers\u00e3o atual do Software, a menos que a parte infratora tamb\u00e9m esteja na vers\u00e3o atual e inalterada, (iii) com base no uso, (iii) com base no uso, na opera\u00e7\u00e3o ou na combina\u00e7\u00e3o do Software com programas, dados ou equipamentos que n\u00e3o sejam da Couchbase, na medida em que tal infra\u00e7\u00e3o teria sido evitada se n\u00e3o fosse por tal uso, opera\u00e7\u00e3o ou combina\u00e7\u00e3o, (iv) atribu\u00edvel a qualquer componente de software de c\u00f3digo aberto de terceiros, (v) na medida em que se baseia no uso do Software pelo Cliente que n\u00e3o esteja de acordo com este Contrato ou com a Documenta\u00e7\u00e3o aplic\u00e1vel, (vi) com base na atividade supostamente infratora continuada do Cliente ap\u00f3s ser notificado ou ap\u00f3s receber uma substitui\u00e7\u00e3o ou modifica\u00e7\u00f5es da Couchbase que teriam evitado a infra\u00e7\u00e3o alegada; ou (b) com rela\u00e7\u00e3o aos Servi\u00e7os Profissionais, (i) com base em modifica\u00e7\u00f5es nos Servi\u00e7os Profissionais feitas por uma parte que n\u00e3o seja a Couchbase, na medida em que uma reivindica\u00e7\u00e3o n\u00e3o teria ocorrido se n\u00e3o fosse por tais modifica\u00e7\u00f5es, (ii) com base no uso dos Servi\u00e7os Profissionais pelo Cliente em viola\u00e7\u00e3o a este Contrato, e tal uso causar tal viola\u00e7\u00e3o, (iii) com base na viola\u00e7\u00e3o resultante da combina\u00e7\u00e3o dos Servi\u00e7os Profissionais, (iii) com base na infra\u00e7\u00e3o resultante da combina\u00e7\u00e3o dos Servi\u00e7os Profissionais com qualquer hardware, dados ou software n\u00e3o fornecido pelo Couchbase, (iv) com base na conformidade do Couchbase com quaisquer materiais, projetos, especifica\u00e7\u00f5es ou instru\u00e7\u00f5es fornecidas pelo Cliente, ou (v) com base na atividade supostamente infratora continuada do Cliente ap\u00f3s ser notificado ou ap\u00f3s ser fornecida uma substitui\u00e7\u00e3o ou modifica\u00e7\u00f5es pelo Couchbase que teriam evitado a infra\u00e7\u00e3o alegada. As obriga\u00e7\u00f5es de indeniza\u00e7\u00e3o do Couchbase n\u00e3o se aplicar\u00e3o a nenhuma reivindica\u00e7\u00e3o na medida em que ela surgir de qualquer assunto pelo qual o Cliente seja obrigado a indenizar o Couchbase de acordo com a Se\u00e7\u00e3o 11.3.<\/p>\n\n\n\n

11.5 \u00danico rem\u00e9dio.<\/strong> OS TERMOS DESTA SE\u00c7\u00c3O 11 CONSTITUEM A RESPONSABILIDADE TOTAL DA COUCHBASE E O \u00daNICO E EXCLUSIVO RECURSO DO CLIENTE COM RELA\u00c7\u00c3O A QUAISQUER REIVINDICA\u00c7\u00d5ES DE TERCEIROS DE VIOLA\u00c7\u00c3O OU APROPRIA\u00c7\u00c3O INDEVIDA DE DIREITOS DE PROPRIEDADE INTELECTUAL DE QUALQUER TIPO.<\/p>\n\n\n\n

12. LIMITA\u00c7\u00c3O DE RESPONSABILIDADE<\/b>. AT\u00c9 O LIMITE M\u00c1XIMO PERMITIDO PELA LEI APLIC\u00c1VEL, EM NENHUMA HIP\u00d3TESE AS PARTES DA COUCHBASE SER\u00c3O RESPONS\u00c1VEIS PERANTE O CLIENTE OU QUALQUER TERCEIRO POR: (A) QUAISQUER DANOS INDIRETOS, ESPECIAIS, INCIDENTAIS, CONSEQUENCIAIS OU EXEMPLARES; OU (B) O CUSTO DE AQUISI\u00c7\u00c3O DE PRODUTOS SUBSTITUTOS OU SERVI\u00c7OS PROFISSIONAIS DECORRENTES OU DE ALGUMA FORMA RELACIONADOS A ESTE CONTRATO OU AO USO OU INCAPACIDADE DE USO DO SOFTWARE, DA DOCUMENTA\u00c7\u00c3O OU DOS SERVI\u00c7OS PROFISSIONAIS; OU (C) DANOS OU OUTRAS PERDAS POR PERDA DE USO, PERDA DE NEG\u00d3CIOS, PERDA DE FUNDO DE COM\u00c9RCIO, PARALISA\u00c7\u00c3O DE TRABALHO, PERDA DE LUCROS, PERDA DE DADOS, FALHA DE COMPUTADOR OU TODO E QUALQUER OUTRO DANO OU PERDA COMERCIAL, MESMO SE AVISADO DA POSSIBILIDADE DISSO E INDEPENDENTEMENTE DA TEORIA LEGAL OU EQUITATIVA (CONTRATO, ATO IL\u00cdCITO OU OUTRO) NA QUAL A REIVINDICA\u00c7\u00c3O SE BASEIA. AT\u00c9 A EXTENS\u00c3O M\u00c1XIMA PERMITIDA PELA LEI APLIC\u00c1VEL, EM NENHUMA HIP\u00d3TESE A RESPONSABILIDADE AGREGADA DAS PARTES DA COUCHBASE PARA COM O CLIENTE, DE TODAS AS CAUSAS DE A\u00c7\u00c3O E SOB TODAS AS TEORIAS DE RESPONSABILIDADE, EXCEDER\u00c1 O VALOR TOTAL DAS TAXAS PAGAS OU DEVIDAS E DEVIDAS SOB O(S) PEDIDO(S) APLIC\u00c1VEL(IS) PELO CLIENTE \u00c0 COUCHBASE QUE SEJAM ATRIBU\u00cdVEIS AO PEDIDO QUE DEU ORIGEM \u00c0 RESPONSABILIDADE NO PER\u00cdODO DE 12 (DOZE) MESES IMEDIATAMENTE ANTERIOR AO ATO OU OMISS\u00c3O QUE DEU ORIGEM \u00c0 RESPONSABILIDADE.
As partes reconhecem e concordam expressamente que a Couchbase definiu seus pre\u00e7os e celebrou este Contrato com base nas limita\u00e7\u00f5es de responsabilidade aqui especificadas, que alocam o risco entre a Couchbase e o Cliente e formam uma base de negocia\u00e7\u00e3o entre as partes.<\/p>\n\n\n\n

13. Prazo e rescis\u00e3o.  <\/strong><\/p>\n\n\n\n

13.1 Este Contrato ter\u00e1 in\u00edcio na Data de Vig\u00eancia e se aplicar\u00e1 a todos os Pedidos que fa\u00e7am refer\u00eancia a este Contrato.<\/p>\n\n\n\n

13.2 Subject to Couchbase\u2019s rights under Section 3 above, either party may terminate an Order or terminate this Agreement if the other party materially breaches its obligations hereunder and, where such breach is curable, such breach remains uncured for thirty (30) days following written notice of the breach.  Customer\u2019s obligation to make a payment of any outstanding, unpaid fees shall survive termination of an Order or this Agreement. Upon termination or expiration of any Order or this Agreement, Customer will promptly return or destroy (and provide written certification of such destruction) the Software, Documentation and Deliverables and all copies and portions thereof, in all forms and types of media.  The following sections will survive termination or expiration of any Order and\/or this Agreement: Sections 3-5, 7-14.<\/p>\n\n\n\n

14. Geral.  <\/strong><\/p>\n\n\n\n

14.1 Nenhuma das partes ser\u00e1 respons\u00e1vel por qualquer atraso ou falha no desempenho (exceto por quaisquer obriga\u00e7\u00f5es de pagamento do Cliente) devido a causas al\u00e9m de seu controle razo\u00e1vel.<\/p>\n\n\n\n

14.2 O Cliente concorda que a Couchbase pode fazer qualquer comunicado \u00e0 imprensa, an\u00fancio p\u00fablico, anunciar ou publicar o fato deste Contrato. N\u00e3o obstante o acima exposto, a Couchbase poder\u00e1 usar o nome e o logotipo do Cliente com este consentimento por escrito, de acordo com as pol\u00edticas de marca registrada do Cliente, nas listas de clientes, desde que tal uso n\u00e3o promova de forma alguma o endosso ou a aprova\u00e7\u00e3o da Couchbase ou de quaisquer produtos ou servi\u00e7os da Couchbase.<\/p>\n\n\n\n

14.3 Customer may not assign this Agreement, in whole or in part, by operation of law or otherwise, without Couchbase’s prior written consent.  Any attempt to assign this Agreement without such consent will be null and of no effect.  Subject to the foregoing, this Agreement will bind and inure to the benefit of each party’s successors and permitted assigns.<\/p>\n\n\n\n

14.4 Se, por qualquer motivo, um tribunal de jurisdi\u00e7\u00e3o competente considerar qualquer cl\u00e1usula deste Contrato inv\u00e1lida ou inexequ\u00edvel, essa cl\u00e1usula deste Contrato ser\u00e1 aplicada na medida m\u00e1xima permitida e as demais cl\u00e1usulas deste Contrato permanecer\u00e3o em pleno vigor e efeito. A falha de qualquer uma das partes em aplicar qualquer disposi\u00e7\u00e3o deste Contrato n\u00e3o constituir\u00e1 uma ren\u00fancia \u00e0 aplica\u00e7\u00e3o futura dessa ou de qualquer outra disposi\u00e7\u00e3o. Todas as ren\u00fancias devem ser feitas por escrito e assinadas por ambas as partes.<\/p>\n\n\n\n

14.5 All notices permitted or required under this Agreement shall be in writing and shall be delivered in person, by confirmed facsimile, overnight courier service or mailed by first class, registered or certified mail, postage prepaid, to the address of the party specified above or such other address as either party may specify in writing.  Such notice shall be deemed to have been given upon receipt.<\/p>\n\n\n\n

14.6 This Agreement shall be governed by the laws of the State of California, U.S.A., excluding its conflicts of law rules.  The parties expressly agree that the UN Convention for the International Sale of Goods will not apply.  Any legal action or proceeding arising under this Agreement will be brought exclusively in the federal or state courts located in Santa Clara County, California and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.  Any amendment or modification to this Agreement must be in writing signed by both parties.<\/p>\n\n\n\n

14.7 This Agreement constitutes the entire agreement and supersedes all prior or contemporaneous oral or written agreements regarding the subject matter hereof, including any agreement on confidentiality previously executed by the parties.   Furthermore, no additional or conflicting terms set forth on any other document shall have any force or effect and are hereby rejected unless expressly agreed upon by the parties\u2019 duly authorized representatives in writing. Each of the parties has caused this Agreement to be executed by its duly authorized representatives as of the Effective Date.  To the extent that any terms and conditions set forth in an Order conflict with the terms of this Agreement, the applicable terms of the Order shall prevail.<\/p>\n\n\n\n

14.8 Exceto conforme expressamente estabelecido neste Contrato, o exerc\u00edcio por qualquer uma das partes de qualquer um de seus recursos nos termos deste Contrato n\u00e3o prejudicar\u00e1 seus outros recursos nos termos deste Contrato ou de outra forma.<\/p>\n\n\n\n

14.9 As partes deste Contrato s\u00e3o contratantes independentes e este Contrato n\u00e3o estabelecer\u00e1 nenhuma rela\u00e7\u00e3o de parceria, joint venture, emprego, franquia ou ag\u00eancia entre as partes.<\/p>\n\n\n\n

14.10 Nenhuma das partes ter\u00e1 o poder de vincular a outra ou incorrer em obriga\u00e7\u00f5es em nome da outra sem o consentimento pr\u00e9vio por escrito da outra.<\/p>\n\n\n\n

14.11 O Cliente n\u00e3o se baseou na disponibilidade de qualquer vers\u00e3o futura do Software ou de qualquer produto futuro para tomar sua decis\u00e3o de celebrar este Contrato.<\/p>\n\n\n\n

14.12 Este Contrato poder\u00e1 ser assinado em qualquer n\u00famero de vias, sendo que cada uma delas ser\u00e1 considerada um original, mas todas juntas constituir\u00e3o um \u00fanico instrumento. As assinaturas transmitidas eletronicamente ou por fac-s\u00edmile ser\u00e3o consideradas assinaturas originais.<\/p>\n\n\n\n
