Contrato de Licen\u00e7a de Assinatura Enterprise<\/h2>\n\n\n\n

Este Contrato de Licen\u00e7a de Assinatura Empresarial (\"Contrato\") \u00e9 celebrado entre a Couchbase e o Licenciado e estabelece os termos sob os quais o Licenciado poder\u00e1 usar determinados softwares da Couchbase nos Pedidos regidos por este Contrato.<\/p>\n\n\n\n

Note that this Agreement cannot be changed without a mutually signed amendment.  Couchbase will not in any way change the terms posted at the URL above.  Any Orders placed under this version of the Agreement may only be modified by a mutually signed amendment.<\/p>\n\n\n\n

1. Concess\u00e3o de licen\u00e7a. <\/strong>Durante a Vig\u00eancia da Assinatura, e sujeito \u00e0 conformidade do Licenciado com os termos e condi\u00e7\u00f5es deste Contrato, a Couchbase concede ao Licenciado uma licen\u00e7a n\u00e3o exclusiva, intransfer\u00edvel, n\u00e3o sublicenci\u00e1vel e paga<\/p>\n\n\n\n

(a) instalar e usar o Software somente para uso interno do Licenciado e limitado ao n\u00famero de N\u00f3s Licenciados pagos pelo Licenciado, e<\/p>\n\n\n\n

(b) se o Couchbase Mobile for licenciado, o Licenciado estar\u00e1 adicionalmente licenciado para incorporar partes do Software para Dispositivos em aplicativos para dispositivos m\u00f3veis que o Licenciado possa distribuir internamente e a terceiros, at\u00e9 o n\u00famero de N\u00f3s Licenciados pagos pelo Licenciado.<\/p>\n\n\n\n

2. Restri\u00e7\u00f5es.<\/strong> O Licenciado n\u00e3o o far\u00e1:<\/p>\n\n\n\n

(a) copiar ou usar o Software de qualquer maneira, exceto conforme expressamente permitido neste Contrato;<\/p>\n\n\n\n

(b) usar ou implementar o Software em um n\u00famero superior ao n\u00famero de N\u00f3s Licenciados para os quais o Licenciado pagou a Taxa de Assinatura aplic\u00e1vel;<\/p>\n\n\n\n

(c) transferir, vender, alugar, arrendar, emprestar, distribuir ou sublicenciar o Software a terceiros;<\/p>\n\n\n\n

(d) usar o Software para fornecer servi\u00e7os de compartilhamento de tempo, servi\u00e7os de bureau de servi\u00e7os ou como parte de um provedor de servi\u00e7os de aplicativos ou como uma oferta de servi\u00e7o projetada principalmente para oferecer a funcionalidade do Software;<\/p>\n\n\n\n

(e) fazer engenharia reversa, desmontar ou descompilar o Software (exceto na medida em que tais restri\u00e7\u00f5es sejam proibidas por lei);<\/p>\n\n\n\n

(f) alterar, modificar, aprimorar ou preparar qualquer trabalho derivado do Software;<\/p>\n\n\n\n

(g) alterar ou remover quaisquer avisos de propriedade no Software; ou<\/p>\n\n\n\n

(h) exportar o Software em viola\u00e7\u00e3o \u00e0s regras de administra\u00e7\u00e3o de exporta\u00e7\u00e3o do Departamento de Com\u00e9rcio dos EUA ou a quaisquer outras leis ou regulamentos de exporta\u00e7\u00e3o. Se o Licenciado n\u00e3o estiver em conformidade com os termos da licen\u00e7a ou com as restri\u00e7\u00f5es acima, a Couchbase poder\u00e1 rescindir ou suspender a licen\u00e7a do Licenciado para o Software (sem reembolso ou cr\u00e9dito) at\u00e9 que o Licenciado esteja em conformidade com tais termos e restri\u00e7\u00f5es.<\/p>\n\n\n\n

3. Direitos de propriedade. <\/strong>O Software, e quaisquer modifica\u00e7\u00f5es ou derivados dele, \u00e9 e continuar\u00e1 sendo propriedade exclusiva da Couchbase e de seus licenciadores e, exceto pelos direitos de licen\u00e7a concedidos neste documento, a Couchbase e seus licenciadores ret\u00eam todos os direitos, t\u00edtulos e interesses no e para o Software, incluindo todos os direitos de propriedade intelectual nele e para ele. O Software pode incluir componentes de software de c\u00f3digo aberto de terceiros. Se o Licenciado for o Governo dos Estados Unidos ou qualquer contratante do mesmo, todas as licen\u00e7as concedidas neste documento estar\u00e3o sujeitas ao seguinte:<\/p>\n\n\n\n

(a) para aquisi\u00e7\u00e3o por ou em nome de \u00f3rg\u00e3os civis, conforme necess\u00e1rio para obter prote\u00e7\u00e3o como \"software comercial de computador\" e documenta\u00e7\u00e3o relacionada, de acordo com os termos deste Contrato e conforme especificado na Subparte 12.1212 do Federal Acquisition Regulation (FAR), 48 C.F.R.12.1212, e seus sucessores; e<\/p>\n\n\n\n

(b) para aquisi\u00e7\u00e3o por ou em nome do Departamento de Defesa (DOD) e quaisquer ag\u00eancias ou unidades do mesmo, conforme necess\u00e1rio para obter prote\u00e7\u00e3o como \"software de computador comercial\" e documenta\u00e7\u00e3o relacionada de acordo com os termos deste Contrato e conforme especificado nas Subpartes 227.7202-1 e 227.7202-3 do Suplemento FAR do DOD, 48 C.F.R.227.7202-1 e 227.7202-3, e seus sucessores. O fabricante \u00e9 a Couchbase, Inc.<\/p>\n\n\n\n

4. Suporte. <\/strong>Couchbase offers several levels of Support Services for the Software.  Couchbase will provide Licensee with the level of Support Services indicated on the Order and paid for by Licensee. Licensee must have Licensed Nodes at the same level of Support Services for all Production Deployment instances running the Software, including any instances that are used for disaster recovery or backup that are associated with the Production Deployment. For all instances in a development and test environment running the Software, Licensee must also have all Licensed Nodes at the same level of Support Services although these Support Services may be at a different level than the production Licensed Nodes. When using the Cross Data Center Replication feature, Licensee must have all Licensed Nodes at the same level of Support Services for all instances on all sides of the replication connection, including if one side of the connection is only used for disaster recovery or backup.<\/p>\n\n\n\n

5. Pagamentos. <\/strong>Licensee will pay Couchbase the applicable Subscription Fees. All payments of fees or charges under this Agreement shall be made in the currency stated on the Order and are due within thirty (30) days of the date of the invoice. Late payments will bear interest at the lesser of one and one half percent (1 \u00bd%) per month or the maximum rate allowed by law. In addition, Licensee will reimburse Couchbase for all reasonable costs and expenses incurred (including reasonable attorneys\u2019 fees) in collecting any overdue amounts. All fees payable under this Agreement are net amounts and are payable in full, without deduction for taxes or duties of any kind. Subscription Fees are exclusive of, and Licensee is responsible for all duties and taxes (including Value Added Tax which shall be paid by Licensee, if applicable, at the rate and in the manner for the time being prescribed by law), except for taxes based on Couchbase’s net income. All fees are non-refundable, except to the extent expressly provided for in this Agreement.<\/p>\n\n\n\n

6. Reten\u00e7\u00e3o de registros e auditoria. <\/strong>O Licenciado dever\u00e1 manter registros completos e precisos para permitir que a Couchbase verifique a conformidade do Licenciado com o Contrato (incluindo o n\u00famero de N\u00f3s Licenciados usados pelo Licenciado) e fornecer \u00e0 Couchbase tais registros dentro de dez (10) dias ap\u00f3s a solicita\u00e7\u00e3o. Mediante notifica\u00e7\u00e3o por escrito com pelo menos 30 (trinta) dias de anteced\u00eancia, a Couchbase poder\u00e1 auditar o uso do Software pelo Licenciado para avaliar se o Licenciado est\u00e1 cumprindo os termos deste Contrato. Qualquer auditoria desse tipo ser\u00e1 realizada durante o hor\u00e1rio comercial normal nas instala\u00e7\u00f5es do Licenciado e n\u00e3o interferir\u00e1 de forma injustificada nas atividades comerciais do Licenciado. O Licenciado fornecer\u00e1 \u00e0 Couchbase acesso aos registros e \u00e0s instala\u00e7\u00f5es relevantes do Licenciado. Se uma auditoria revelar que o Licenciado pagou taxas insuficientes \u00e0 Couchbase, a Couchbase faturar\u00e1 o Licenciado, e o Licenciado pagar\u00e1 prontamente \u00e0 Couchbase, por essas taxas insuficientes com base na lista de pre\u00e7os da Couchbase em vigor no momento em que a auditoria for conclu\u00edda. Se as taxas pagas a menor excederem cinco por cento (5%) da Tarifa de Assinatura paga pelo Licenciado pelo Software, o Licenciado tamb\u00e9m pagar\u00e1 os custos razo\u00e1veis da Couchbase para conduzir a auditoria.<\/p>\n\n\n\n

7. Confidencialidade. <\/strong>O Licenciado e a Couchbase manter\u00e3o a confidencialidade das Informa\u00e7\u00f5es Confidenciais. A parte receptora de quaisquer Informa\u00e7\u00f5es Confidenciais da outra parte concorda em n\u00e3o usar tais Informa\u00e7\u00f5es Confidenciais para qualquer finalidade, exceto conforme necess\u00e1rio para cumprir suas obriga\u00e7\u00f5es e exercer seus direitos sob este Contrato. A parte receptora proteger\u00e1 o sigilo e evitar\u00e1 a divulga\u00e7\u00e3o e o uso n\u00e3o autorizado das Informa\u00e7\u00f5es Confidenciais da parte divulgadora usando o mesmo grau de cuidado que toma para proteger suas pr\u00f3prias informa\u00e7\u00f5es confidenciais e, em nenhuma hip\u00f3tese, usar\u00e1 menos do que o cuidado razo\u00e1vel. Os termos desta se\u00e7\u00e3o de Confidencialidade sobreviver\u00e3o \u00e0 rescis\u00e3o ou ao vencimento deste Contrato. Ap\u00f3s a rescis\u00e3o ou expira\u00e7\u00e3o deste Contrato, a parte receptora, a crit\u00e9rio da parte divulgadora, devolver\u00e1 ou destruir\u00e1 imediatamente (e fornecer\u00e1 certifica\u00e7\u00e3o por escrito de tal destrui\u00e7\u00e3o) as Informa\u00e7\u00f5es Confidenciais da parte divulgadora. Uma parte poder\u00e1 divulgar as Informa\u00e7\u00f5es Confidenciais da outra parte na medida exigida por qualquer lei ou regulamento.<\/p>\n\n\n\n

8. Isen\u00e7\u00e3o de garantia. <\/strong>O SOFTWARE E QUAISQUER SERVI\u00c7OS FORNECIDOS DE ACORDO COM ESTE DOCUMENTO S\u00c3O FORNECIDOS \"NO ESTADO EM QUE SE ENCONTRAM\", SEM QUALQUER TIPO DE GARANTIA. A COUCHBASE N\u00c3O GARANTE QUE O SOFTWARE OU OS SERVI\u00c7OS AQUI FORNECIDOS ATENDER\u00c3O AOS REQUISITOS DO LICENCIADO, QUE O SOFTWARE OPERAR\u00c1 NAS COMBINA\u00c7\u00d5ES QUE O LICENCIADO POSSA SELECIONAR PARA USO, QUE A OPERA\u00c7\u00c3O DO SOFTWARE SER\u00c1 LIVRE DE ERROS OU ININTERRUPTA OU QUE TODOS OS ERROS DO SOFTWARE SER\u00c3O CORRIGIDOS. A COUCHBASE, POR MEIO DESTE INSTRUMENTO, ISENTA-SE DE TODAS AS GARANTIAS, EXPRESSAS OU IMPL\u00cdCITAS, INCLUINDO, MAS N\u00c3O SE LIMITANDO \u00c0S GARANTIAS IMPL\u00cdCITAS DE COMERCIALIZA\u00c7\u00c3O, ADEQUA\u00c7\u00c3O A UMA FINALIDADE ESPEC\u00cdFICA, N\u00c3O VIOLA\u00c7\u00c3O, T\u00cdTULO E QUAISQUER GARANTIAS DECORRENTES DO CURSO DE NEGOCIA\u00c7\u00c3O, USO OU COM\u00c9RCIO.<\/p>\n\n\n\n

9. Indeniza\u00e7\u00e3o de reivindica\u00e7\u00f5es de terceiros.<\/strong><\/p>\n\n\n\n
